Every public company has two kinds of owners. The public, who buy in the open market, and the insiders, the founders, early backers, and employees who owned it long before. After the listing, those insiders are locked in. They cannot sell a share.

That window is now closing on the biggest names of this cycle. A record-setting IPO just brought one of the most anticipated companies in years to market, and newer listings followed. The standard lock-up runs three to six months, placing the first real insider selling window late this year. Jon Najarian's warning to skip the hottest of these debuts is, at its core, about that same math.

The force underneath is supply. A lock-up holds back most of a company's shares. When it expires, the tradable float can multiply almost overnight. More sellers meet the same buyers, and the price adjusts down, whatever the story.

For your capital, the lesson is timing. The price right after an IPO reflects scarcity. The price after the lock-up reflects reality.

## ▫️ THE MECHANISM

Insider selling moves a stock through a few clear gears.

- **The lock-up clock.** For 90 to 180 days after an IPO, insiders cannot sell. When that clock reaches zero, the supply of tradable shares can jump many times over in a single session.
- **Mandatory filings.** By law, insiders must report their sales within two business days on a Form 4, so the public can see exactly what they are doing, if it bothers to look.
- **Scheduled selling.** Many executives sell through preset plans set up months in advance, steady selling that has nothing to do with the day's news and should not be misread as panic.
- **The signal in the crowd.** In the most crowded names of this cycle, including the AI leaders, what insiders actually do with their own shares tells you more than any forecast or price target.

Talk is cheap. A filed sale is not.

## ▫️ THE CASE FILE

Facebook went public in May 2012 at 38 dollars a share, the most hyped listing of its era. The float at the debut was small. Most of the company's shares were still locked up.

Then the lock-ups began to expire. In August 2012, roughly 271 million additional shares became eligible to sell, and larger waves followed into the autumn. The stock fell to about 17.55 dollars by early September, down more than 50 percent from its offering price.

The business itself was fine. It would reclaim 38 dollars within a year and climb for a decade after that. But the unlocked supply found the price first, and the earliest public buyers paid for the lesson.

## ▫️ THE PRESSURE TEST

- **Lock-ups are public.** Expiration dates are known well in advance, so part of the coming supply is already anticipated and priced in.
- **Insiders sell for many reasons.** A sale can mean taxes, a home, or simple diversification, not a loss of faith in the company.
- **Strong names absorb it.** A genuinely great business can digest the new supply and move on, as the best of them eventually do.
- **Timing is still hard.** A stock can run well past its lock-up before gravity arrives, and betting against the event directly is dangerous.

The takeaway is not fear. It is patience. Let the unlocked supply clear, judge the business on its own numbers, and keep a foundation in assets that no insider can ever flood onto the market.
