## ▫️ THE CORE TOPIC

A share is usually described as a claim on profits. It is also a ballot, and that half of it is rarely examined.

For most Americans the ballot is no longer in their hands. It sits with whoever manages the fund. Every mutual fund must file a complete record of how it voted, and the deadline is close: Form N-PX is due [not later than August 31st](https://www.sec.gov/reportspubs/investor-publications/investorpubsmfproxyvotinghtm.html?utm%5Fsource=core-sector.beehiiv.com&utm%5Fmedium=referral&utm%5Fcampaign=john-bogle-warned-three-firms-would-control-the-whole-stock-market) each year, covering the twelve months to 30 June. The filings are public, searchable, and read by almost nobody.

So the ownership is yours, the dividend is yours, and the decision belongs to a committee you have never met, at a firm you chose for its fee.

Advice on where to move money arrives at a steady rate. Far less is said about what a share entitles you to once the money has moved, and whose hand goes up when the company asks its owners a question.

## ▫️ THE MECHANISM

Four things separate owning a share from deciding anything.

- **The fund votes, not the holder.** Buy the index and you have bought the economics. The voting right travels with the fund, and the manager exercises it under a policy you agreed to without reading.
- **Lent shares vote for nobody.** Funds lend stock for extra income, and a lent share cannot be voted. A rule adopted in 2022 requires disclosure of [shares loaned and not recalled](https://www.sec.gov/newsroom/press-releases/2022-198?utm%5Fsource=core-sector.beehiiv.com&utm%5Fmedium=referral&utm%5Fcampaign=john-bogle-warned-three-firms-would-control-the-whole-stock-market), and it applied from the 2024 filings, so the size of that gap is finally visible.
- **Some shares are built to lose.** Where a company issues more than one class, the arithmetic is settled in the charter long before any meeting is called.
- **The record exists but is not read.** Every vote is filed, categorised and machine-readable. The information problem is no longer supply.

Dates get marked on calendars for all sorts of reasons. An annual meeting is one of the few whose result is largely determined before the day arrives.

## ▫️ THE CASE FILE

It is written into a filing anyone can pull up. Alphabet's certificate of incorporation provides for Class A common stock with one vote per share, Class B with [10 votes per share](https://www.sec.gov/Archives/edgar/data/1652044/000165204423000016/googexhibit420q42022.htm?utm%5Fsource=core-sector.beehiiv.com&utm%5Fmedium=referral&utm%5Fcampaign=john-bogle-warned-three-firms-would-control-the-whole-stock-market), and Class C with no voting rights unless the law demands otherwise.

Buy the ordinary listed shares and you are a genuine owner of the business. You are also, at the meeting, arithmetically irrelevant, and that was decided before you arrived.

The other half of the picture was set out at a federal hearing in 2018, where a sitting Commissioner cited John Bogle's own alarm that the three largest index funds might come to own [more than 30% of the stock market](https://www.sec.gov/newsroom/speeches-statements/jackson-testimony-ftc-120618?utm%5Fsource=core-sector.beehiiv.com&utm%5Fmedium=referral&utm%5Fcampaign=john-bogle-warned-three-firms-would-control-the-whole-stock-market). Bogle built the thing, and the concentration worried him.

## ▫️ THE PRESSURE TEST

- **Most votes change nothing.** The overwhelming majority of resolutions pass or fail by wide margins, and one retail holding would not have altered any of them.
- **Delegation is often the right answer.** A fund that reads every proxy is doing work the individual holder has neither the time nor the documents to do.
- **Founder control has a defence.** Concentrated votes let management ignore pressure for a quick result, and several of the largest American companies were built exactly that way.
- **Concentration cuts both ways.** A large manager can also be the only holder big enough to be listened to when something genuinely needs correcting.

The point is not to storm a meeting. It is to notice that a portfolio contains two separate things, an economic claim and a say, and that on most modern holdings you have kept one and handed over the other.
