For most of the 20th century, the path was clear. A company raised early money privately, then listed on a public exchange. The IPO was where the average investor met the next great American business.

That path is fragmenting. Companies stay private for 15 to 20 years. SpaceX is reportedly targeting a $1.75 trillion valuation in its 2026 IPO. The combined 2026 IPO pipeline could exceed $240 billion in raised capital, but those listings will arrive after most of the growth has already happened privately.

The structural driver is access. Private capital has expanded to fill the entire growth cycle. New regulatory channels (Reg A+, secondaries, Reg D) and pre-IPO platforms now let retail investors buy private equity once reserved for institutions. Some are legitimate. Some are marketing wrappers.

Consider March 25, 2015. The SEC adopted final rules implementing Title IV of the JOBS Act, with rules effective June 19, 2015. For the first time since the 1933 Securities Act, the public could buy private company equity without being accredited. The cap on Reg A offerings jumped from $5 million to $50 million per year. In March 2021, the cap was raised again to $75 million.

That single regulatory change opened a channel that did not exist in 2014. By 2026, billions had flowed through Reg A+ offerings to companies that bypassed the traditional IPO route.

The lesson: structural access changes the moment the rules change, not when the news catches up. Smart capital reads the rule book first.

The shift is real. So are the risks investors should weigh.

  • Pre-IPO does not guarantee an IPO. Reserved tickers and Reg A+ offerings are not commitments to list. Many companies never reach a public exchange.
